Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") are a legal agreement between you and Terraform Innovations LLC, a New York limited liability company ("Shared Planner," "we," "us," or "our"), governing your access to and use of the Shared Planner application, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use Shared Planner on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Accounts

You must be at least 13 years old to create a Shared Planner account. If you are under the age of legal majority where you live, you may use Shared Planner only with permission of a parent or legal guardian. You may not use the Service if applicable law prohibits you from doing so.

You agree to provide accurate account information and keep it reasonably current. You are responsible for maintaining the confidentiality of your credentials and for activity occurring through your account. Notify us promptly if you believe your account has been accessed without authorization.

Shared Planner may support email/password authentication and third-party sign-in methods such as Google Sign-In. Your use of a third-party authentication service may also be subject to that provider's terms.

3. The Shared Planner Service

Shared Planner provides collaborative planning and communication features that may include shared calendars, events, tasks, to-do lists, shopping and other lists, reminders, group chat, image and document sharing, notifications, group management, and related planning tools. Features may vary by platform, plan, location, app version, or account status.

A feature shown, described, tested, or planned is not guaranteed to remain available. We may add, change, limit, suspend, or discontinue features as described in these Terms.

4. Groups, Ownership, Administrators, and Members

Shared Planner allows users to create or join groups. A group owner or administrator may have additional permissions, including managing members, group settings, content, and access. Group members are responsible for understanding that actions taken within a collaborative group may affect other members.

Invitations may be provided through invite codes, links, or other supported methods. You are responsible for sharing invitations only with people you intend to invite and for managing access to groups you control.

A subscription associated with a group owner may determine the capacity and features available to groups owned by that user. Invited members generally do not need to purchase their own subscription merely to participate in a paid owner's group, subject to the applicable plan rules and feature availability.

Ownership or administrative status does not give a user ownership of another member's intellectual property. It does, however, permit the owner or administrator to manage the shared group environment as permitted by the Service.

5. Group and Account Deletion

Deleting an owned group is a destructive action. If you delete a group that you own or administer with deletion authority, the group and its associated content may be permanently deleted for all members, including shared messages, events, tasks, lists, images, documents, and other group information. Once completed, this action cannot be undone.

If you permanently delete your Shared Planner account while you own groups, those owned groups and their associated content will also be permanently deleted and become unavailable to other members. You are responsible for preserving information you wish to retain and, where appropriate, notifying other group members before deleting an owned group or your account.

Deletion and retention are also subject to the practices described in our Privacy Policy and to limited retention that may be required for legal, security, transaction, fraud-prevention, backup, or operational purposes.

6. User Content and Your Rights

You retain ownership of content you create and upload to Shared Planner, subject to any rights held by other people in that content. "User Content" includes messages, text, events, tasks, lists, images, documents, profile or group images, and other material submitted through the Service.

You grant Terraform Innovations LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use your User Content only as reasonably necessary to operate, secure, maintain, improve, and provide the Service, comply with law, and enforce these Terms. This license ends when the content is deleted from our systems, except to the extent limited copies are lawfully or reasonably retained as described in the Privacy Policy.

You represent that you have the rights and permissions necessary to submit User Content and to allow us to process it as described in these Terms. You are responsible for User Content you submit and for ensuring it does not violate law or the rights of others.

7. Acceptable Use and Prohibited Content

You may not use Shared Planner to create, upload, send, store, share, solicit, facilitate, or promote content or conduct that is illegal, fraudulent, threatening, harassing, bullying, hateful, discriminatory, exploitative, sexually abusive, defamatory, invasive of privacy, or otherwise prohibited by applicable law or app-store policy.

You may not use the Service to exploit or endanger minors; distribute non-consensual intimate content; impersonate others deceptively; infringe intellectual property; distribute malware or malicious code; conduct phishing, spam, scams, or unauthorized commercial solicitation; attempt unauthorized access to accounts, systems, or data; interfere with the Service; circumvent technical, security, subscription, capacity, or access controls; scrape or harvest data without authorization; or use Shared Planner to facilitate unlawful activity.

You may not upload content that you do not have the right to share. You may not use another person's personal information in a way that violates their rights or applicable law.

8. User-Generated Content, Reporting, Blocking, and Moderation

Shared Planner hosts user-generated content that may be visible to other members of a private group. Users must comply with these Terms whenever they create, upload, send, or share User Content.

Shared Planner provides safety tools that may allow users to report messages or shared content, members, groups, or other safety concerns. Reports should be submitted in good faith. You may not knowingly submit false, fraudulent, malicious, repetitive, or abusive reports, use reporting tools to harass another person, or attempt to manipulate our moderation processes. We may use reasonable technical measures to reject duplicate, excessive, unauthorized, or abusive report submissions.

A report is an allegation for review and does not by itself establish that a violation occurred. Submitting a report does not automatically delete content, remove a member, block a user, suspend an account, or otherwise impose a penalty. We may review reports and, where appropriate, take reasonable action based on the circumstances, including removing content, restricting features, removing access, suspending or terminating accounts, or taking other steps permitted by these Terms, applicable law, or platform requirements.

Shared Planner may also allow a user to block another member. Blocking is a personal interaction control and does not necessarily remove either person from a shared group. Under the current chat-focused implementation, blocking can prevent the blocking user from seeing the blocked member's chat messages and message attachments and can suppress certain chat-related notifications. Blocking does not automatically hide shared planning information such as group events, tasks, lists, reminders, or membership information, and it does not automatically remove the blocked member from a group. A user may later unblock a member, subject to available Service functionality.

Group owners or administrators may separately have tools to manage or remove members from groups they control, and members may have the ability to leave a group. Reporting, blocking, removing a member, and leaving a group are separate actions and may have different effects.

We are not obligated to pre-screen or continuously monitor all User Content and do not guarantee that we will identify every violation or resolve every report in a particular manner or within a particular time. We may retain appropriate report, moderation, and safety records where reasonably necessary to investigate concerns, prevent abuse, enforce these Terms, protect users and the Service, resolve disputes, maintain security and audit records, or comply with legal obligations, as further described in our Privacy Policy.

9. Intellectual Property

Shared Planner, including its software, design, branding, logos, interfaces, and content provided by Terraform Innovations LLC, is owned by or licensed to Terraform Innovations LLC and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights in Shared Planner intellectual property are transferred to you.

If you believe content available through Shared Planner infringes your copyright or other intellectual-property rights, contact us at sharedplannerapp@gmail.com with sufficient information for us to evaluate the claim. We may remove or restrict allegedly infringing material and may take action against repeat infringers where appropriate.

10. Free and Paid Plans

Shared Planner may offer a Free plan and paid subscription plans, including Starter, Family, and Organization, as well as promotional or legacy account statuses. Features, capacities, and limits may differ by plan and may be shown in the app at the time of purchase.

Paid plans may provide additional group ownership capacity, unique-member capacity, calendar functionality, reminders, file-sharing features, planning limits, administrative functionality, or other benefits. The specific benefits presented in the app and applicable product configuration at the time of subscription govern your current entitlement.

Plan names, features, capacities, and prices may change prospectively. We will provide notice or obtain consent when required by applicable law or app-store rules.

11. Owner-Capacity Subscription Model

Shared Planner subscriptions are generally associated with the subscribing owner's account rather than charged separately for every member of every group. The owner's applicable plan determines the unique-member capacity and owned-group capacity available across groups owned by that subscriber.

A person invited to participate in a paid owner's group may use features made available to that group without purchasing the same subscription solely because they are a member. If that person creates or owns their own group, the features and limits applicable to their own account or subscription govern that owned group.

12. Founding Member Benefit

Shared Planner may grant qualifying early users a promotional "Founding Member" or "Starter for Life" benefit. For eligible accounts, this benefit provides access to the applicable Starter-level entitlement without a recurring Starter subscription charge while Shared Planner continues to offer the applicable service and the account remains eligible and in good standing.

The Founding Member benefit is personal to the qualifying account, non-transferable, has no cash value, and does not automatically include Family, Organization, or future higher-tier plans unless expressly stated. A Founding Member may choose to purchase a higher paid plan. If that higher paid plan later expires and the account remains eligible for the Founding Member benefit, the account may return to its applicable Starter-level Founding Member entitlement.

The Founding Member benefit does not obligate Terraform Innovations LLC to operate Shared Planner or any particular feature indefinitely. We will not revoke the benefit merely to require an eligible Founding Member to begin paying for the same Starter-level benefit, but the Service itself, plan structure, or functionality may change or be discontinued as permitted by these Terms and applicable law.

13. Subscriptions, Billing, and Automatic Renewal

Paid subscriptions may be offered monthly, annually, or in other durations displayed at purchase. Prices are shown through the applicable marketplace or purchase interface and may be localized. The price, billing period, and benefits displayed at the time you confirm the purchase are part of your subscription terms.

Unless expressly stated otherwise, paid subscriptions are auto-renewable. They continue and the applicable marketplace may charge your payment method for each renewal period until you cancel. You should cancel before the renewal deadline specified by the applicable marketplace if you do not want the subscription to renew.

Purchases made through the Apple App Store are billed and managed by Apple. Purchases made through Google Play are billed and managed by Google. RevenueCat may be used to help Shared Planner determine subscription status and entitlements but does not replace the applicable marketplace as the payment processor for marketplace purchases.

Shared Planner may display reference pricing or savings information, but the localized marketplace price presented for the transaction is controlling. Taxes and other charges may apply as determined by the marketplace or applicable law.

14. Trials, Promotions, and Launch Pricing

Shared Planner may offer trials or promotional pricing from time to time. A free trial will apply only when the applicable marketplace and Shared Planner expressly show a valid trial, including its duration and material conditions. If a trial converts to a paid auto-renewable subscription, the applicable purchase screen will disclose the terms before purchase.

Shared Planner may offer "Launch Pricing" or similar promotional pricing. If an offer states that a launch price is retained while a subscription remains continuously active, eligibility for that price depends on maintaining the qualifying subscription without interruption and remains subject to marketplace rules, taxes, and legally required price-change procedures. Cancellation, expiration, billing failure, switching products, or other interruption may end eligibility for promotional pricing.

15. Managing, Canceling, and Restoring Subscriptions

You can manage or cancel a marketplace subscription using the subscription-management tools provided by Apple or Google, as applicable. Cancellation generally stops future renewal; it does not ordinarily terminate access already paid for before the end of the current billing period, except where the marketplace or applicable law provides otherwise.

Shared Planner may provide a Restore Purchases function to restore eligible marketplace entitlements. Restoration depends on the applicable store account, purchase history, and marketplace services.

Deleting the Shared Planner app or deleting a Shared Planner account does not necessarily cancel an active marketplace subscription. You are responsible for canceling the subscription through the applicable marketplace if you no longer want it to renew.

16. Refunds

Refunds for purchases made through the Apple App Store or Google Play are generally governed and processed by the applicable marketplace and applicable law. Terraform Innovations LLC does not control marketplace refund eligibility or decisions. Nothing in these Terms limits any refund or cancellation right that cannot legally be waived.

17. Upgrades and Downgrades

Subscription upgrades, downgrades, crossgrades, billing adjustments, and effective dates are determined by the applicable marketplace and Shared Planner's verified entitlement information. Shared Planner does not independently promise manual proration outside the applicable marketplace rules.

A downgrade is enforced when the lower verified plan becomes effective, not merely when a future downgrade is requested. Shared Planner does not automatically delete user data solely because a subscription downgrades.

If, when the lower plan becomes effective, an owner exceeds the new plan's owned-group or unique-member limits, Shared Planner may provide a configurable grace period, currently intended to be seven days unless otherwise stated in the Service. During the grace period, existing collaboration may continue, but while the account remains over the applicable limit the owner may be prevented from creating additional owned groups, accepting ownership of additional groups, or adding new unique members.

The owner may be required to select which owned groups remain active within the lower plan allowance and may revise that selection during the grace period. If the owner does not make a valid selection by the deadline, Shared Planner may automatically keep the most recently meaningfully active owned groups up to the applicable limit and restrict excess groups in accordance with the Service's then-current downgrade rules. We do not promise automatic deletion of excess group data solely because of a downgrade.

18. Voice Commands and Device Dictation

Shared Planner may offer an optional voice-command feature for creating supported items such as events and tasks. Speech recognition may be performed by your device, operating system, browser, Apple, Google, or other platform services. Shared Planner may process the resulting text through service providers to interpret the requested action.

Shared Planner does not promise that voice recognition or interpreted commands will always be accurate. You are responsible for reviewing information created through a voice command before relying on it. Device or keyboard dictation used to compose ordinary messages is provided by the applicable device or keyboard provider rather than by Shared Planner.

19. Notifications and Communications

If you enable notifications, Shared Planner may send push notifications relating to reminders, events, tasks, group activity, subscriptions, account status, or other Service functionality. Push delivery depends on device settings, network availability, and third-party notification infrastructure and is not guaranteed.

We may also send service-related email or other communications when reasonably necessary to operate your account, administer subscriptions, provide security notices, respond to requests, or satisfy legal obligations. Marketing communications, if any, will be handled in accordance with applicable law.

20. Third-Party Services and Platforms

Shared Planner relies on third-party services and platforms, which may include Apple, Google, Lovable/Lovable Cloud, OneSignal, RevenueCat, hosting or infrastructure providers, email providers, and other service providers. Your use of third-party services may also be governed by their own terms and policies.

We are not responsible for third-party services outside our reasonable control. Changes, outages, restrictions, or discontinuation by a third-party provider may affect Shared Planner functionality.

21. Availability, Changes, and Discontinuation

We aim to provide a reliable Service, but Shared Planner is provided without a guarantee of uninterrupted or error-free availability. Maintenance, software defects, internet failures, device limitations, third-party outages, security events, legal requirements, or other circumstances may interrupt or limit access.

We may modify, suspend, replace, or discontinue all or part of the Service, including features or plans. Where a material change affects a paid subscription, we will act consistently with applicable law and marketplace requirements.

If Terraform Innovations LLC decides to discontinue Shared Planner, we may provide reasonable advance notice where practicable and legally required. We do not guarantee that the Service, any plan, or any feature will exist indefinitely.

22. Suspension and Termination

We may restrict, suspend, or terminate access to the Service if we reasonably believe you have violated these Terms, created a security or legal risk, engaged in fraud or abuse, failed to pay amounts due through an applicable purchase mechanism, or if suspension or termination is required by law or a platform provider.

Where appropriate, we may use less restrictive measures first. Serious or repeated violations may result in immediate action. Termination of a Shared Planner account does not automatically cancel a separately managed Apple or Google subscription unless the applicable marketplace provides otherwise.

You may stop using the Service at any time and may permanently delete your account using the supported deletion process, subject to the consequences for owned groups described above.

23. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TERRAFORM INNOVATIONS LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY LEGALLY BE DISCLAIMED.

WE DO NOT WARRANT THAT SHARED PLANNER WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT REMINDERS, NOTIFICATIONS, CALENDAR INFORMATION, TASKS, VOICE COMMANDS, OR OTHER CONTENT WILL ALWAYS BE DELIVERED, SYNCHRONIZED, INTERPRETED, OR DISPLAYED CORRECTLY. YOU SHOULD NOT RELY ON SHARED PLANNER AS THE SOLE METHOD FOR TIME-CRITICAL, EMERGENCY, MEDICAL, SAFETY, LEGAL, FINANCIAL, OR OTHER HIGH-STAKES COMMUNICATIONS OR REMINDERS.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRAFORM INNOVATIONS LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TERRAFORM INNOVATIONS LLC FOR SHARED PLANNER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Terraform Innovations LLC and its officers, members, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your User Content, your unlawful or unauthorized use of the Service, your material violation of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim results from our own unlawful conduct or where indemnification is prohibited by law.

26. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except to the extent the law where you reside gives you non-waivable rights or requires another law to apply.

We are not requiring mandatory arbitration or a class-action waiver under these Terms. Subject to any non-waivable consumer rights or jurisdictional rules, disputes arising from these Terms or the Service may be brought in a court of competent jurisdiction in New York.

Before filing a formal claim, you and Terraform Innovations LLC are encouraged to contact the other party and attempt in good faith to resolve the dispute informally, unless doing so would prejudice a legal right or deadline.

27. App Store and Google Play Terms

If you obtain Shared Planner through the Apple App Store or Google Play, your use of the app is also subject to applicable marketplace terms. The marketplace provider is not responsible for providing the Shared Planner Service except to the extent required by its own terms or applicable law.

For Apple-distributed versions, Apple is not a party to these Terms between you and Terraform Innovations LLC, except that Apple and its subsidiaries may be third-party beneficiaries of provisions applicable to your licensed use of the app to the extent required by Apple's developer terms. Nothing in these Terms is intended to conflict with mandatory App Store terms.

For Google Play-distributed versions, Google Play billing, subscription management, cancellation, and refund processes apply where the purchase is made through Google Play. Nothing in these Terms limits rights provided by Google Play or applicable law.

28. Changes to These Terms

We may update these Terms to reflect changes to Shared Planner, our business, applicable law, platform requirements, security practices, or other legitimate operational needs. We will update the "Last Updated" date and provide additional notice when required by law.

If a change materially affects your rights and applicable law requires consent, we will request it. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.

29. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms expressly presented for a particular feature or purchase, form the agreement between you and Terraform Innovations LLC regarding the Service.

If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except where applicable law provides otherwise. We may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or by operation of law.

Headings are for convenience only. The words "including" and "include" mean "including without limitation" unless the context clearly requires otherwise.
